Terms of purchase & software licence
Clear terms for buying and using Cruse Control software.
These terms apply to purchases of Cruse Control-branded software from Cruse Control Business Systems Limited. They explain the licence you receive, electronic delivery, FileMaker requirements, support, backups and the terms that form part of your order.
1. Who you are buying from
Your contract is with Cruse Control Business Systems Limited, United Kingdom (“Cruse Control”, “we”, “us”). The order information shown to you before payment, your order confirmation and these terms together form the contract for your purchase.
2. The software is licensed, not sold
Cruse Control software is supplied to you under licence. Purchasing the software does not transfer ownership of the software, its source material, intellectual property or Cruse Control’s rights in it.
You may use the software for the organisation and number of users covered by the licence purchased. You must not sell, hire, distribute, sublicense or otherwise make the software available to another person or organisation except where Cruse Control has agreed this in writing.
3. User licensing
The number of licences purchased determines the permitted number of concurrent users of the licensed multi-user Cruse Control files, unless a different arrangement is expressly stated in your order or licence information.
Volume pricing may apply according to the number of users purchased. The applicable price is the price shown in your order before payment.
4. FileMaker is separate
Unless expressly stated otherwise in the product description or order, the price of a Cruse Control product does not include FileMaker Pro, FileMaker Server or other Claris licensing.
You are responsible for having suitable FileMaker software and an operating environment capable of running the Cruse Control product. Compatibility information shown on the product page or supplied before purchase forms an important part of the product description.
5. Electronic delivery
Cruse Control products purchased through the modern online store are supplied electronically rather than on physical media. After your order and payment have been processed, we will supply the software, the appropriate user licence and relevant getting-started information electronically.
Delivery may initially be fulfilled manually. Unless a different delivery time is stated or agreed with you, we will process the order within a reasonable period after payment confirmation.
6. Consumers and the 14-day cancellation period
If you are purchasing as a consumer, statutory cancellation rights may apply to a distance contract. For digital content supplied electronically, we may ask you to expressly request that supply begins during the 14-day cancellation period and to acknowledge that, once supply of the digital content begins in accordance with that request, you lose the applicable right to cancel on that basis.
Where that acknowledgement is required, it will be presented separately during checkout and recorded with your order. Your order confirmation will also record the relevant consent and acknowledgement.
This does not affect your statutory rights if digital content is faulty, not as described or otherwise fails to meet rights that apply by law.
7. Product suitability and descriptions
Please read the product description, FileMaker requirements and compatibility information before ordering. If you have a particular requirement that is important to your purchase, tell us before ordering so that we can discuss whether the product is appropriate.
Nothing in these terms excludes obligations that apply by law in relation to software being as described, of satisfactory quality or fit for a purpose where those rights apply.
8. Backups and your data
You are strongly advised to maintain regular, tested backups of your database files and business data. For multi-user installations this should include an appropriate scheduled backup strategy, with more than one generation of backups retained.
Database files can be damaged by hardware failure, software failure, interruption, storage problems, user action or other events. A backup is only useful if it can be restored, so backup procedures should be checked periodically.
Where FileMaker Server is used, its backup facilities should be configured appropriately for the importance and frequency of changes to your data.
9. Customisation and changes
Certain parts of Cruse Control software may be supplied unlocked or may be customisable. You are responsible for changes made by you or by third parties acting on your behalf. Cruse Control cannot accept responsibility for faults, damage or corruption caused by alterations that we did not make or approve.
Where you ask Cruse Control to carry out separate development, customisation, consultancy or other services, additional terms, quotations or agreements may apply to that work.
10. Support
Any support included with a purchase will be described on the website, in the order information or in information supplied with the software. Support covers the scope stated there; development, customisation, data repair, conversion or other additional work may be chargeable.
11. Lawful use and licence protection
You must not use, copy or distribute the software in a way that infringes applicable law or the rights of Cruse Control, Claris or another relevant rights holder. You must not deliberately evade, defeat or misrepresent applicable software licensing or user limits.
Fraudulent use or deliberate licence circumvention may result in suspension or termination of rights granted under the licence, subject to applicable law and the circumstances of the case.
12. Liability
Nothing in these terms excludes or limits liability where it would be unlawful to do so, or excludes or restricts statutory rights that cannot lawfully be excluded or restricted.
For business customers, subject to the paragraph above and to any separately agreed written terms, Cruse Control is not responsible for indirect or consequential loss, loss of profits, loss of business or loss of data arising from use of the software. Customers remain responsible for maintaining appropriate backups and business-continuity arrangements.
Because limitations of liability can have significant legal consequences, this section should receive legal review before live online payment is enabled.
13. Order confirmation and records
After an online order is accepted, we will provide confirmation in a form you can retain, normally by email. This will identify the order and provide or refer to the applicable contractual information. Please retain your order confirmation, invoice and licence information.
14. Privacy
Personal information connected with an order is handled in accordance with our Privacy statement. Information may also be processed by the payment provider used to complete your transaction.
